1. Acceptance of Terms
By accessing, browsing, requesting information from, or using CraftIQ website, software systems, support channels, consulting services, or engineering deliverables, you agree to these Terms & Conditions.
If you enter into separate proposal, statement of work, master service agreement, maintenance plan, or written commercial approval with CraftIQ, those documents apply alongside these terms. Where conflict exists, signed engagement-specific terms take priority for that engagement.
2. Definitions
In these terms, CraftIQ, we, our, and us refer to CraftIQ and its authorized representatives. Client means any individual, business, institution, or entity that accesses services, requests work, or enters into commercial discussion with CraftIQ.
- Services include consulting, software development, AI systems, automation systems, cloud deployments, support, audits, reviews, and related engineering work.
- Deliverables include code, documents, reports, configurations, recommendations, technical assets, or outputs prepared as part of an engagement.
- Third-Party Services include platforms, APIs, hosting providers, analytics tools, registrars, cloud vendors, or external infrastructure not owned by CraftIQ.
3. Services
CraftIQ provides professional engineering services across SaaS platforms, AI applications, backend systems, APIs, infrastructure, automation, product implementation, technical support, and advisory work.
All service scope depends on written alignment. Proposal language, milestone plans, quoted deliverables, support terms, and documented approvals define what is included in each engagement. Work outside agreed scope may require revised commercial terms, new timelines, or separate approval.
4. Client Responsibilities
Clients are responsible for providing timely approvals, accurate requirements, lawful access to systems, decision-making contacts, content or data needed for work, and commercially relevant information that affects delivery.
- Requirements should be materially accurate and shared in good faith.
- Client-provided credentials, assets, and instructions should be lawful to use.
- Delays caused by missing approvals, unclear feedback, or blocked dependencies may affect timelines and delivery planning.
5. Acceptable Use
CraftIQ services may not be used in ways that are unlawful, abusive, fraudulent, infringing, security-hostile, or inconsistent with legitimate engineering or business use.
- Reverse engineering or misuse of protected systems without authorization.
- Distribution of malware, destructive automation, or unlawful intrusive tooling.
- Use of deliverables in ways that violate law, regulation, export controls, or third-party rights.
- Misrepresentation of CraftIQ work, ownership, qualifications, or relationship to a third party.
6. Intellectual Property
Unless otherwise agreed in writing, final paid deliverables transfer to client only after all applicable invoices, dues, and commercial obligations are satisfied in full.
CraftIQ retains ownership of pre-existing materials, internal methods, reusable utilities, frameworks, templates, know-how, processes, and general engineering patterns used during delivery. Nothing in these terms transfers ownership of such background intellectual property unless expressly stated in writing.
7. Confidentiality
CraftIQ treats non-public client information shared during discussions, support, discovery, implementation, or post-delivery handling as confidential, subject to normal operational use needed to deliver services.
Clients should extend same standard to CraftIQ proposals, commercial terms, architecture recommendations, delivery methods, and other non-public information. Separate NDA terms may apply where signed.
8. Payments & Billing
CraftIQ may bill on fixed-fee, milestone, retainer, support, consulting, or staged commercial basis depending on engagement type. Quotes and invoices should be handled according to documented payment terms.
- Work may require advance payment or milestone clearance before continuation.
- Taxes, gateway charges, banking fees, or statutory deductions may apply.
- Overdue payments may lead to pause of delivery, suspension of support, or delayed transfer of final assets.
9. Third-Party Services
CraftIQ work may depend on third-party infrastructure, APIs, cloud platforms, registrars, code hosting, analytics, communication services, or licensed tools. Their availability, pricing, policy changes, rate limits, or outages are outside CraftIQ direct control.
CraftIQ is not liable for failures, delays, restrictions, or data handling decisions caused primarily by third-party systems, provided CraftIQ has acted with reasonable engineering care.
10. Availability
CraftIQ aims for professional continuity, reliable communication, and structured delivery. However, website access, support channels, and service availability are not guaranteed to be uninterrupted or error-free at all times.
Planned maintenance, infrastructure incidents, vendor outages, abuse prevention, legal obligations, or operational constraints may affect availability without creating automatic liability.
11. Limitation of Liability
To maximum extent permitted by applicable law, CraftIQ is not liable for indirect, incidental, special, consequential, punitive, or business-interruption damages, including loss of revenue, loss of profits, loss of opportunity, loss of data, or reputational harm arising from use of services or deliverables.
Where liability cannot be excluded, total aggregate liability is limited to amounts actually paid to CraftIQ for specific services directly giving rise to claim during reasonable period preceding claim, except where non-excludable law requires otherwise.
12. Indemnification
Client agrees to indemnify and hold CraftIQ harmless against claims, losses, liabilities, costs, or expenses arising from client misuse of services, unlawful instructions, unauthorized assets, violation of third-party rights, or operation of deliverables outside agreed use.
This clause applies only to extent claim is caused by client-side acts, omissions, materials, or instructions rather than verified CraftIQ breach of written obligations.
13. Suspension & Termination
CraftIQ may suspend or terminate access, support, or ongoing work where there is material breach of terms, prolonged non-payment, abusive conduct, unlawful use, security risk, false representation, or refusal to cooperate with essential delivery requirements.
Client may discontinue future work subject to payment of completed milestones, approved effort, accrued support, licensed dependencies, and any non-cancellable third-party commitments already undertaken for engagement.
14. Governing Law
These Terms & Conditions are governed by laws of India, without regard to conflict of law principles. Courts or competent forums having jurisdiction in India will have authority over disputes unless otherwise agreed in signed engagement terms.
Before escalation, parties should attempt good-faith resolution through direct written communication and reasonable commercial discussion.
